The purchase price may be subject to a post-closing adjustment. The majority of the cash component of the purchase price would be provided by an arms-length partner, which would assume approximately 30% of the share ownership of Actiontop. Shares issued in accordance with the Proposed Transaction would be subject to a one-year lock up period. Cantronic expects that it will fund its cash portion of payment with cash on hand. Actiontop has a profitable track record including several years of revenue and earnings and this transaction will be immediately accretive to Cantronic.

The LOI provides that the parties will proceed in good faith to enter into a definitive purchase and sale agreement by March 30, 2010. Any definitive agreement would be subject to amongst other things, final due diligence by Cantronic. THE news that Edinburghs transport chiefs intend to press ahead with a city-wide tram network will be greeted with howls of incredulity, swiftly followed by rage, from citizens within the capitals boundaries and people further afield. Construction work on the project – begun in 2007, meant to be completed in 2011, but now delayed until 2012 – has strained the citys patience. Edinburghs tram project never had an overwhelmingly popular mandate. Even those who supported the idea initially now wonder whether the ongoing mess is worth it for the sake of one line that runs parallel to well-served bus routes. Opponents just say: “I told you so.” But before we mount a citizens revolt at the prospect of more tram works to come, we should separate a good, visionary idea from its woeful execution. The inexperienced Lib-Dem/SNP administration that has presided over the tram debacle is made up of mavericks who might well be incapable of organising the proverbial piss-up in a brewery, let alone playing midwife to such a radical project. That is unfortunate. After the council elections in 2011, lets hope that Edinburghs city chambers will be in more capable hands. To be fair to Edinburgh City Council though, most local authorities have little experience of managing such massive civic projects. And as the deep crisis in local government funding bites, very few will gain that experience, preferring to turn a blind eye to city centres choked with cars and the inevitable environmental degradation that causes, as they struggle to make budget savings.

AAA collaborates with the Travel Channel as the official safety partner on the networks new reality travel competition series, “Americas Worst Driver,” premiering at 7 p.m. Sunday, March 14.

In the series, bad drivers from eight major American cities, including Los Angeles, nominated by friends and family, compete in various driving challenges to identify the worst local driver. TO journalists, anything that appears as news is a story. Its the word we use. A “good story” is a tale that needs to be told and ought to be read. It doesnt, probably shouldnt, aspire to art. It neednt have a moral purpose and the chances are – for good news is rarely a good story – that it wont cheer you up. So whats the difference between a good newspaper story and a good movie? Easy enough, you say. One is supposed to be true, the other suffers no such inhibitions. In journalism the facts, said CP Scott, are sacred; movies get by with “emotional truth” or some such blather. Yet what if the film is “based on a true story”, and what if the newspaper item is unassailably factual, in every detail, but so selective it amounts to a falsehood? You can complicate the matter more. A journalist confronted with a hideous catastrophe will not win many bylines if he or she simply reports the death toll, quotes the politicians, and corrals expert opinion. Those who were despatched to Haiti as thousands died understood that “emotional truth”, the human reality, was also a fact, perhaps the largest fact. Yet a film-maker, bound by no reporting conventions, might claim the same understanding. By what right? When you exceed the facts, for whatever reason, you make a claim about your own percipience. But if you stick to what is demonstrably, blamelessly factual you may miss larger truths. Equally, if you touch on the lives of actual people, in either trade, they may fail to recognise your version, or they may just dispute your right – you might call it your right to free speech – to treat them as raw material.

Salt is a level of additional security that can be applied to both MD5 and SHA-256 hashing that significantly mitigates the risk of brute force attacks. Marketers running email campaigns across affiliate networks or other third parties typically share suppression and opt-out lists in order to comply with the Federal CAN-SPAM Act. While removing opt-out requests is a common email practice, there are risks associated with sharing lists of physical email addresses for individuals who do not want to receive email. Suppression list abuse, where email partners intentionally or unintentionally email suppression lists, is real, and the consequences can include federal fines and tarnished brand reputations.

NASHUA, N.H. — BAE Systems and Cobham have formed a strategic alliance on a proposal
for the U.S. Navy’s Next Generation Jammer system, designated to replace
the ALQ-99 tactical jammer currently installed on the EA-6B Prowler and
EA-18G Growler aircraft. The Next Generation Jammer program seeks to
develop new ways to jam enemy radars, using the EA-18G as the target
platform.

The joint offering will combine the companies’ expertise in electronic
warfare, electronic attack, suppression of enemy air defenses and
irregular warfare support to ground forces.

Todays DSM defines “oppositional defiant disorder” as a pattern of “negativistic, defiant, disobedient and hostile behavior toward authority figures.” Symptoms include “often loses temper,” “often deliberately annoys people” or “is often touchy.” DSM omits this symptom: “is a teenager.” This DSM defines as “personality disorders” attributes that once were considered character flaws. “Antisocial personality disorder” is “a pervasive pattern of disregard for. the rights of others. callous, cynical. an inflated and arrogant self-appraisal.” “Histrionic personality disorder” is “excessive emotionality and attention-seeking.” “Narcissistic personality disorder” involves “grandiosity, need for admiration. boastful and pretentious.” And so on.

Included in the consolidated net loss for the three and twelve months
ended December 31, 2009 are pre-tax, non-cash impairment charges of $4.4
million and $13.0 million, respectively, related to the Murano
condominium project, and $14.0 million and $16.0 million, respectively,
related to joint venture investments.

After tax cash flow (ATCF) for the three months ended December 31, 2009
was $2.5 million or $0.10 per share compared to after tax cash flow of
$0.5 million or $0.02 per share for the three months ended December 31,
2008. The increase in ATCF for the quarter ended December 31, 2009 over
the prior year period resulted from an increase in gains from sales of
condominium units at the Murano property and a reduction in interest
expense, partially offset by reductions in property net operating income
and net revenues from the investment advisory management, leasing and
development services business. ATCF for the twelve months ended December
31, 2009 was $8.2 million or $0.33 per share compared to ATCF of $22.5
million or $0.95 per share for the twelve months ended December 31,
2008. The reduction in ATCF for the year ended December 31, 2009
compared to the prior year primarily resulted from a decline in gains
from sales of condominium units at Murano and a reduction in property
net operating income. The Company defines ATCF (a non-GAAP financial
measure) as net income (loss) excluding the following items:
non-controlling interests, deferred income taxes, non-cash charges for
depreciation and amortization and asset impairment, amortization of loan
costs, non-cash compensation expense, straight-line rent adjustments,
adjustments to reflect the fair market value of rent, and gain from
extinguishment of debt. ATCF is further described in note (c) to the
financial statements below.

Thomas further stated, “We have accomplished a number of financing and
capital transactions, reducing our consolidated debt balances by $69.7
million at December 31, 2009 compared to December 31, 2008. Also,
subsequent to year end, we negotiated on behalf of the California State
Teachers Retirement System (CalSTRS), our partner in City National Plaza
in downtown Los Angeles, for CalSTRS to acquire all $219.1 million of
mezzanine debt on that property. CalSTRS will contribute this debt to
the partnership’s equity, reducing the leverage on the property from
$568.0 million to $348.9 million, all of which is first mortgage debt.
We are in discussions with CalSTRS to obtain an option to participate in
the loan purchase, on or after the maturity of the mezzanine debt, based
on our current pro rata share of 25% of the existing City National Plaza
equity. We are confident that the increased equity, together with the
property’s substantial cash reserves, will facilitate the refinancing of
the mortgage later in 2010.”

LOS ANGELES — An often-overlooked deduction may help turn a major property-casualty
loss into a tax time gain. The standard deduction for unreimbursed
casualty and theft losses allows taxpayers to include certain uninsured
property losses among their itemized deductions.

In the past, qualifying for the disaster loss deduction meant that the
taxpayer had to have sustained substantial financial losses. Insurance
deductibles or gaps in insurance coverage — from fire, flooding or
earthquake, for example — could qualify for tax deductions.

For a short time, however, homeowners with losses from any federally-declared
disaster may also qualify for additional benefits under federal
legislation available only for the 2008 and 2009 tax years. The National
Disaster Relief Act of 2008 allows all taxpayers, not just those who
itemize, to claim a deduction for catastrophe losses regardless of their
income level. The legislation also eliminates the requirement that
taxpayers qualify for the deduction only if the disaster loss exceeds 10

China Armco Metals, Inc. (NYSE Amex: CNAM), a distributor of imported metal ore and metal recycler with a new state of the art scrap metal recycling facility in China, today announced that Armet Renewable Resource Company, Limited, the Companys wholly owned subsidiary, has signed a contract to supply a major Chinese steel producer with up to 230,000 tons of scrap steel in 2010. The contract calls for the delivery of up to 23,000 metric tons of scrap steel per month for 10 months beginning in March of 2010. Based on the current spot price of scrap steel, this supply contract is valued at over $100 million.

Management anticipates this supply contract will allow the company to sell all of the initial production from its recently completed 1 million ton recycling facility during the first several months of operation. Additionally, management anticipates reaching a full capacity run rate sometime in the fourth quarter of 2010. At full capacity the facility is capable of processing approximately 1 million metric tons of scrap steel per year or over $400 million annually at current prices.

Commenting on the supply contract, Mr. Kexuan Yao, CEO and Chairman of China Armco Metals, Inc., stated, “We are very excited to have secured such a sizable contract with this leading steel producer. This essentially has pre-sold the first several months of production from our newly opened facility as we ramp up capacity over the coming quarters. WASHINGTON — While outdoor living continues to grow in popularity, expect fewer
frills this year as homeowners get back to the basics in a cool economy,
according to an American Society of Landscape Architects (ASLA) survey
of residential landscape architects.

Overall, 94.4 percent of residential landscape architects rate outdoor
living spaces like kitchens or entertaining space as somewhat or very
popular for 2010. Among kitchen features, the most popular include the
classic outdoor grill (94.4 percent) and counter space (73.5 percent).
More elaborate kitchen elements like outdoor refrigerators (52.8
percent) and sinks (50 percent) were much less popular.

Following a similar trend, the most popular outdoor entertainment
features eschewed more expensive, elaborate items in favor of the
essentials. For 2010, expect the continued interest in seating/dining
areas (95.6 percent) using installed seating like benches and seatwalls
(90.6 percent) or weatherized outdoor furniture (77.1 percent), along
with the ever-popular fire pit/fireplace (94 percent). Landscape
architects anticipate less enthusiasm for items like stereo systems
(57.2 percent), outdoor heaters (43.9 percent) and TVs (35.5 percent).

“Homeowners want to create a sense of place for their family, friends,
and neighbors to enjoy outside, but an uncertain economy means many will
dial back some of the extra features we’ve seen in past years,” said

Ontario Government Support Helping Create Nearly 400 New Jobs

TORONTO — Ontario is helping Canada’s largest independent software company develop
innovative new digital media products, while creating almost 400 new,
high-value jobs in Ontario.

A global leader in digital media and information and communications
technology, Open
Text is conducting research and development into emerging segments
of the market, including green computing, mobile applications and high
performance systems. These innovations will help Open Text to capture a
larger share of the growing digital media industry.

The province is providing a grant of $33.75 million through the Next
Generation of Jobs Fund, as part of Open Text’s total investment of $225
million over the next five years. The project will create jobs at Open
Text’s operations in Waterloo, Richmond Hill and Ottawa.

the province and furthers Ontario’s reputation as a leader in digital
media and information and communications technology. We’re proud to

EMA surveyed more than 800 large organizations, and most respondents
acknowledged anticipated concerns about security, and interest in
potential investment savings. The research indicated that new adoption
of cloud computing to this point has been very small overall, but has
exploded in organizations that had already tried it.
